05פגישות ייעוץ ופניות
שליחת דואר אלקטרוני, בקשה ליצירת קשר, פנייה טלפונית, בקשה לתצוגה מקדימה או בקשה לפגישת ייעוץ אינן יוצרות יחסי לקוח ואינן מחייבות את Yondi Group לספק שירותים. יחסים עסקיים נוצרים רק כאשר הצדדים מתקשרים בהסכם בכתב רלוונטי, או כאשר Yondi Group מאשרת בדרך אחרת בכתב את קבלת ההתקשרות. אתם מסכימים כי המידע שתמסרו במסגרת פנייה יהיה מדויק ולא יפגע בזכויותיו של אדם אחר.
06היעדר ייעוץ מקצועי או מובטח
אלא אם נקבע במפורש אחרת בהסכם חתום, המידע הנמסר באתר או במהלך פגישת ייעוץ ראשונית הוא מידע עסקי כללי ואינו מהווה ייעוץ משפטי, ייעוץ מס, ייעוץ חשבונאי, ייעוץ השקעות או ייעוץ מקצועי מוסדר אחר. בעניינים המחייבים ייעוץ מקצועי, עליכם להתייעץ עם יועצים מוסמכים.
07היעדר התחייבות לתוצאות
אלא אם ניתנה לכך התחייבות מפורשת בהסכם חתום בכתב, Yondi Group אינה מתחייבת ל: הכנסות; רווח; מכירות; לידים; שיעורי המרה; צמיחה עסקית; דירוג במנועי חיפוש; תוצאות פרסום; אישור מצד פלטפורמה של צד שלישי; שיעורי מסירת הודעות; זמינות רציפה של מערכות צד שלישי; או כל תוצאה עסקית, טכנולוגית או מסחרית מסוימת. התוצאות עשויות להיות תלויות בתנאי השוק, בפעולות הלקוח, בפלטפורמות צד שלישי, בתקציבים, בעיתוי, במגבלות טכניות, בדרישות הדין ובעניינים אחרים שאינם בשליטתנו.
08אחריות הלקוח
כאשר אתם מתקשרים עם Yondi Group לקבלת שירותים, אתם אחראים ל: מסירת מידע מדויק ובזמן; מסירת החומרים, פרטי הגישה, ההרשאות, ההחלטות והאישורים הנדרשים; בחינת הצעות ותוצרים; הבטחה שהחומרים שאתם מוסרים הם חוקיים; השגת זכויות הקניין הרוחני הנדרשות לגבי תוכן שאתם מספקים; השגת ההסכמות הנדרשות בתחום הפרטיות והדיוור מהלקוחות שלכם; עמידה בדינים החלים ובכללי הפלטפורמות; הגנה על סיסמאות ופרטי גישה לחשבונות; תשלום התעריפים המוסכמים; ושיתוף פעולה סביר לצורך מתן השירות. לוחות הזמנים של הפרויקט עשויים להתארך אם מסירת מידע, גישה, חומרים או אישורים נדרשים מתעכבת.
09שימוש מותר
חל איסור להשתמש באתר או בשירותים שלנו כדי: להפר כל דין או תקנה; לשלוח דואר זבל (ספאם) או דברי פרסומת בלתי חוקיים שלא התבקשו; לשלוח הודעות טקסט ללא הסכמה מספקת כדין; להציג מצג שווא לגבי זהותכם, השתייכותכם, מוצריכם או שירותיכם; להפר זכויות קניין רוחני, פרטיות, זכות לפרסום או זכויות אחרות; להפיץ תוכנות זדוניות או קוד מזיק; לשבש מערכות או רשתות; לנסות להשיג גישה בלתי מורשית; לאסוף או לגרד (scraping) מידע שלא כדין; לבצע הונאה, איומים, הטרדה או התנהגות פוגענית; או לעקוף מגבלות של ציות, אבטחה או מגבלות חוזיות. אנו רשאים להשעות או להפסיק שירותים הקשורים בחשד להתנהגות אסורה.
10תעריפים, חיוב ותשלום
החבילות הסטנדרטיות שלנו כרוכות בתשלום חד פעמי וקבוע: Essential: $500; Premium: $700; ו־Smart Website: $1,000 (הכוללת מערכת מקוונת לזימון תורים). עבודה בהתאמה אישית עשויה להיות מתומחרת בנפרד.
תנאי התשלום הסטנדרטיים הם מקדמה בשיעור 50% לתחילת העבודה ו־50% לפני העלייה לאוויר, אלא אם נקבע אחרת בהצעה או בהסכם שלכם.
התעריפים נקובים בדולר ארה"ב ומעובדים באופן מאובטח על ידי ספק הסליקה שלנו, Stripe. אם תמסרו אמצעי תשלום, אתם מרשים ל־Yondi Group ולספק הסליקה שלה לחייב סכומים שאישרתם.
התעריפים אינם כוללים מיסים החלים; אתם אחראים למס מכירה, מס שימוש או מיסים דומים החלים, למעט מיסים המבוססים על ההכנסה הנקייה של Yondi Group.
אנו רשאים להשעות שירותים בשל יתרות שמועד פירעונן חלף, וייתכן שתחויבו בעלויות גבייה סבירות ככל שהדין מתיר זאת.
11מנוי Care Plan
ה־Care Plan האופציונלי ($50 לחודש) הוא שירות מתחדש הכולל אחסון, אבטחה, עריכות תוכן קטנות (עד 2 בחודש), ניטור זמינות ותמיכה בעדיפות. ברכישת ה־Care Plan אתם מרשים חיובים חודשיים מתחדשים באמצעות Stripe עד שהביטול ייכנס לתוקף. תוכלו לבטל בכל עת בהודעה מוקדמת של 14 ימים, בדואר אלקטרוני לכתובת yondigroup@gmail.com. הביטול מונע חידושים עתידיים ואינו מקנה לכם באופן אוטומטי זכות להחזר כספי בגין תקופת חיוב נוכחית או קודמת.
12החזרים כספיים
אלא אם נקבע אחרת בהסכם חתום או נדרש על פי הדין החל: מקדמות אינן ניתנות להחזר מרגע שהחלה עבודת העיצוב או הפיתוח; תשלומים בגין שירותים שהושלמו אינם ניתנים להחזר; תשלומים לצדדים שלישיים ועלויות המועברות ללקוח (כגון דומיינים או נכסים דיגיטליים בתשלום) אינם ניתנים להחזר; ודמי מנוי אינם מוחזרים באופן יחסי בגין תקופות חיוב שנוצלו חלקית. בקשות להחזר כספי יש להגיש לכתובת yondigroup@gmail.com. אין באמור בסעיף זה כדי לגרוע מזכות שאין לוותר עליה על פי הדין החל.
13סבבי תיקונים ואישורים
כל בניית אתר כוללת שני סבבי תיקונים. סבבי תיקונים נוספים או פיצ'רים חדשים מעבר להיקף המוסכם עשויים להיות מתומחרים כעבודה נוספת. באחריותכם לבחון ולאשר את האתר לפני העלייה לאוויר.
14שירותי צד שלישי
השירותים שלנו עשויים להיות תלויים בפלטפורמות של צדדים שלישיים או משולבים בהן, לרבות אחסון אתרים; ספקי ענן; רשמי דומיינים; ספקי תקשורת ומסרונים (לרבות Twilio); ספקי סליקה (Stripe); ספקי בינה מלאכותית; שירותי אנליטיקה; מערכות תזמון; וספקי תוכנה או תשתית אחרים. שירותי צד שלישי כפופים לתנאים, למדיניות, לתמחור ולמגבלות הטכניות שלהם. Yondi Group אינה אחראית ל: השבתות של צדדים שלישיים; שינויים בפונקציונליות או בתמחור של צדדים שלישיים; השעיית חשבונות אצל צדדים שלישיים; אובדן מידע אצל צדדים שלישיים; מגבלות API; סינון של ספקי סלולר, חסימת הודעות או אי מסירתן; דחיית רישומים; אירועי אבטחה שנגרמו על ידי צדדים שלישיים; או מעשים או מחדלים אחרים של צדדים שלישיים. סיוע בעבודה מול פלטפורמה של צד שלישי אינו מבטיח אישור או זמינות מתמשכת.
15תקשורת אלקטרונית
בפנייתכם אל Yondi Group אתם מסכימים שנשיב לכם באמצעי הקשר שבו השתמשתם או שמסרתם, לרבות דואר אלקטרוני או טלפון. אנו עשויים לתקשר עמכם בנוגע לפנייתכם, לתצוגות מקדימות, להצעות, לשירותים, לפגישות, לחשבונות, לעסקאות, לתמיכה, לאבטחה, להודעות משפטיות ולעדכוני מדיניות. דברי פרסומת יישלחו רק ככל שהדין החל מתיר זאת ולאחר קבלת כל הסכמה נדרשת.
16תנאי תוכנית SMS ו־MMS
16.1 תיאור התוכנית
כאשר אדם נותן הסכמה מפורשת (opt in), Yondi Group עשויה לשלוח לו הודעות SMS או MMS בנושאים הבאים: מענה לפניות עסקיות; קישורים לתצוגה מקדימה של אתר; הצעות והצעות מחיר; תיאום פגישות ייעוץ; אישורי פגישות ותזכורות; קישורי תשלום; עדכונים על הפרויקט או על החשבון; שירות לקוחות; מידע שהתבקש; ותקשורת אחרת שפורטה בעת מתן ההסכמה.
16.2 דרכי מתן הסכמה
נמען רשאי לתת הסכמה באחת הדרכים הבאות: מתן הסכמה מילולית מפורשת במהלך שיחת טלפון עם נציג מורשה של Yondi Group; סימון תיבת הסכמה אופציונלית ל־SMS, שאינה מסומנת מראש, בטופס יצירת קשר של Yondi Group; פתיחת שיחת הודעות טקסט ובקשת מענה; או מתן הסכמה מתועדת בתהליך אחר המוצג באופן ברור. ההסכמה חלה באופן ספציפי על הודעות הנשלחות על ידי Yondi Group LLC למטרות שפורטו בעת מתן ההסכמה, ואינה ניתנת להעברה לעסק אחר.
16.3 הסכמה מרצון
ההסכמה לקבלת הודעות טקסט ניתנת מרצון ואינה מהווה תנאי לרכישת מוצרים או שירותים. כאשר נעשה שימוש בטופס באתר, ההסכמה ל־SMS מוצגת בנפרד ואינה כרוכה בחובה לקבל את התנאים הכלליים.
16.4 תדירות ההודעות
תדירות ההודעות משתנה בהתאם לפניות, לפגישות, לבקשות, לפרויקטים ולאינטראקציות עם Yondi Group, ובדרך כלל עומדת על 2 עד 8 הודעות בחודש.
16.5 תעריפי הודעות ונתונים
ייתכן שיחולו תעריפי הודעות ונתונים בהתאם לתוכנית הסלולר של הנמען. Yondi Group אינה אחראית לתשלומים שגובה ספק הסלולר.
16.6 הסרה מרשימת התפוצה
נמען רשאי להסיר את עצמו (opt out) בכל עת על ידי השבת STOP. לאחר קבלת STOP, Yondi Group עשויה לשלוח הודעת אישור אחת אחרונה המציינת כי הנמען הוסר. לא יישלחו הודעות נוספות במסגרת תוכנית ההודעות הרלוונטית, אלא אם אותו אדם ייתן הסכמה חדשה.
ספקי הסלולר אינם אחראים להודעות שמסירתן התעכבה או שלא נמסרו. מסירת ההודעות תלויה ברשתות ספקי הסלולר, בתאימות המכשיר, בזמינות השירות ובגורמים נוספים שאינם בשליטת Yondi Group, ואינה מובטחת.
16.9 פרטיות בסלולר
מידע סלולרי לא ישותף עם צדדים שלישיים או עם גופים קשורים למטרות שיווק או קידום מכירות. נתוני ההסכמה (opt in) של מקור הודעות הטקסט וההסכמה עצמה לא ישותפו, לא יימכרו, לא יושכרו ולא יועברו לצדדים שלישיים, לגופים קשורים, למחוללי לידים או לסוחרי מידע לצורכי השיווק או קידום המכירות העצמאיים שלהם.
Yondi Group עשויה להיעזר בספקי תקשורת וטכנולוגיה אך ורק לצורך הפעלת תוכנית ההודעות מטעמה. לפרטים המלאים ראו את מדיניות הפרטיות שלנו.
16.10 שינויים בתוכנית
Yondi Group רשאית לשנות תוכנית הודעות או להפסיקה, בכפוף לדין החל. שינויים מהותיים עשויים להימסר בהודעת טקסט, בדואר אלקטרוני, בהודעה באתר או בכל דרך סבירה אחרת.
17תוכן האתר וקניין רוחני
האתר ותכניו, לרבות טקסטים, גרפיקה, לוגואים, עיצובים, תוכנה, תמונות, סימני מסחר וחומרים אחרים, הם בבעלות Yondi Group או מעניקי הרישיון שלה ומוגנים על פי דיני הקניין הרוחני החלים. בכפוף לתנאים אלה, Yondi Group מעניקה לכם זכות מוגבלת, הניתנת לביטול, שאינה בלעדית ואינה ניתנת להעברה, לגשת לאתר למטרות מידע חוקיות או למטרות עסקיות פנימיות. חל איסור, ללא קבלת רשות מראש ובכתב: לפרסם מחדש חלק מהותי מתוכן האתר; לשנות את התוכן או ליצור ממנו יצירות נגזרות; למכור את תוכן האתר או להעניק בו רישיונות משנה; להסיר הודעות על זכויות קנייניות; לבצע הנדסה לאחור של תוכנה, למעט במקרים שבהם איסור זה אסור על פי דין; לעשות שימוש לרעה בשם או בסימני המסחר של Yondi Group; או לרמוז על תמיכה או השתייכות שלא אושרו.
18חומרי הלקוח
"חומרי הלקוח" פירושם מידע, מסמכים, תוכן, לוגואים, עיצובים, נתונים, פרטי גישה, תמונות, הנחיות או חומרים אחרים שנמסרו על ידי לקוח. הלקוחות שומרים על הבעלות בחומרי הלקוח שלהם. לקוח המתקשר עם Yondi Group מעניק לחברה רישיון מוגבל להשתמש בחומרי הלקוח, לאחסן, לשכפל, להעביר, להציג או לשנות אותם, במידה הנדרשת באופן סביר לביצוע השירותים המוסכמים. אתם מצהירים ומתחייבים כי אתם הבעלים של חומרי הלקוח או שיש לכם רשות להשתמש בהם; כי החומרים אינם מפרים את הדין החל; כי החומרים אינם מפרים זכויות של צדדים שלישיים; וכי השגתם את ההרשאות וההסכמות הנדרשות.
19תוצרים ובעלות
עם השלמת התשלום המלא, האתר שנמסר ותכניו שייכים ללקוח. אלא אם הוסכם אחרת בכתב: Yondi Group שומרת על הבעלות בחומרים שהיו קיימים אצלה מראש, בתבניות, במסגרות העבודה, בכלים, בתהליכים, בשיטות, ברכיבי התוכנה ובטכנולוגיה הניתנת לשימוש חוזר, אשר ניתן בהם רישיון ללקוח כפי שהם משולבים באתר שנמסר; חומרי צד שלישי נשארים כפופים לרישיונות החלים עליהם; הלקוחות מקבלים רק את הזכויות שהוענקו במפורש; וכל העברת בעלות מותנית בתשלום מלא. אלא אם תבקשו מאיתנו שלא לעשות כן, Yondi Group רשאית להציג את האתר המוגמר והציבורי בתיק העבודות ובחומרי השיווק שלה.
20סודיות
כל צד עשוי לקבל מידע שאינו פומבי, אשר סומן כסודי או שיש להבינו באופן סביר כסודי. הצד המקבל: ישתמש במידע הסודי רק לצורך ההתקשרות העסקית הרלוונטית; ינקוט אמצעי הגנה סבירים; יגביל את הגישה לאנשים שיש להם צורך לגיטימי לדעת; ולא יגלה מידע סודי אלא כפי שהותר או כנדרש על פי דין. מידע סודי אינו כולל מידע שהפך לפומבי שלא עקב הפרה; שהיה ידוע כבר כדין; שהתקבל כדין מצד שלישי; שפותח באופן עצמאי; או שחובה לגלותו על פי דין.
21פרטיות
האופן שבו אנו אוספים מידע אישי ומשתמשים בו מתואר במדיניות הפרטיות שלנו בכתובת https://yondigroup.com/privacy-policy, המהווה חלק בלתי נפרד מתנאים אלה בדרך של הפניה.
22הסתייגויות
במידה המרבית המותרת על פי דין, האתר והשירותים מסופקים "כמות שהם" (AS IS) ו"בהתאם לזמינותם" (AS AVAILABLE). 23הגבלת אחריות
במידה המרבית המותרת על פי דין, Yondi Group וחבריה, מנהליה, בעליה, נושאי המשרה בה, עובדיה, קבלניה, הגופים הקשורים אליה וסוכניה לא יישאו באחריות לנזקים עקיפים, אגביים, מיוחדים, תוצאתיים, לדוגמה או עונשיים, לרבות אובדן רווחים, הכנסות, הזדמנויות עסקיות, מוניטין, שימוש או מידע. במידה המרבית המותרת על פי דין, האחריות הכוללת והמצטברת של Yondi Group הנובעת מהאתר, מהשירותים או מתנאים אלה לא תעלה על הגבוה מבין: (A) הסכום ששולם ישירות ל־Yondi Group עבור השירות הספציפי שבגינו קמה התביעה, במהלך שלושת החודשים שקדמו לאירוע שהקים את האחריות; או (B) מאה דולר ארה"ב ($100), אם לא שולם תשלום עבור השירות הרלוונטי. אין בתנאים אלה כדי להחריג אחריות שלא ניתן להחריגה על פי דין.
24שיפוי
במידה המותרת על פי דין, אתם מסכימים להגן על Yondi Group ועל חבריה, מנהליה, בעליה, נושאי המשרה בה, עובדיה, קבלניה, הגופים הקשורים אליה וסוכניה, לשפות אותם ולפטור אותם מאחריות בגין תביעות, הפסדים, נזקים, חבויות, קנסות, פסקי דין, עלויות ושכר טרחת עורכי דין סביר, הנובעים מ: הפרת תנאים אלה על ידכם; הפרת דין על ידכם; חומרי הלקוח שלכם; הפרת זכויותיו של צד אחר על ידכם; שימוש לרעה שלכם באתר או בשירותים; הודעות שנשלחו לפי הנחייתכם; אי השגת הסכמה הנדרשת על פי דין על ידכם; או הפרקטיקות העסקיות, המוצרים או השירותים שלכם.
25השעיה וסיום
Yondi Group רשאית להשעות או להפסיק שירותים כאשר תנאים אלה מופרים; כאשר מועד התשלום חלף; כאשר התנהגות יוצרת סיכון משפטי, ביטחוני, תדמיתי או תפעולי; כאשר ספק צד שלישי דורש השעיה; כאשר יש חשד להונאה, לשימוש לרעה או לפעילות בלתי חוקית; או כאשר המשך מתן השירות יפר דין או התחייבויות חוזיות. סיום ההתקשרות אינו מבטל התחייבויות תשלום שכבר נוצרו. הוראות שמטבען אמורות לשרוד את סיום ההתקשרות יישארו בתוקף, לרבות הוראות בדבר תשלום, סודיות, קניין רוחני, הסתייגויות, הגבלות אחריות, שיפוי ויישוב מחלוקות.
26הדין החל
תנאים אלה כפופים לדיני מדינת Wyoming, מבלי להתחשב בכללי ברירת הדין.
27יישוב מחלוקות בדרך לא פורמלית
לפני פתיחה בהליכים משפטיים פורמליים, הצדדים מסכימים לנסות בתום לב ליישב מחלוקת באמצעות הודעה בכתב ודיונים לא פורמליים סבירים במשך 30 ימים לפחות. הודעה על מחלוקת צריכה לכלול את שם הצד המתלונן ופרטי ההתקשרות שלו; תיאור המחלוקת; מידע תומך רלוונטי; ואת הפתרון המבוקש. הודעות אל Yondi Group יש לשלוח לכתובת yondigroup@gmail.com.
28מקום השיפוט

These Terms and Conditions ("Terms") govern access to and use of the website located at yondigroup.com (the "Site") and any communications, consultations, previews, proposals, services, or other offerings provided by Yondi Group LLC ("Yondi Group," "Company," "we," "us," or "our"). By accessing our website, contacting us, requesting a free website preview or consultation, entering into an agreement with us, or using our services, you acknowledge and agree to these Terms. If you do not agree to these Terms, do not use our website or services.
01About Yondi Group
Yondi Group LLC is a Wyoming limited liability company. We design and build websites, online booking systems, and business automation for small businesses. Our website is primarily an informational business website: it provides general information about Yondi Group and allows prospective customers to learn about the Company, request a free personalized website preview, and contact us. The website does not presently require visitors to create an account or purchase services directly online. Prospective customers may contact Yondi Group by emailing yondigroup@gmail.com or by using other contact methods made available by the Company.
02Eligibility and authority
You must be at least 18 years old and legally capable of entering into a binding agreement to use our services. If you act on behalf of a company, organization, or other entity, you represent and warrant that you have authority to bind that entity. In such circumstances, "you" includes both you and the entity you represent.
03Services
Yondi Group may provide website design and development, landing pages, online booking and appointment systems, business automation, AI-assisted workflows, and related digital, technical, and communications services. The precise nature of a service — including its scope, deliverables, schedule, price, payment terms, customer responsibilities, limitations, and acceptance criteria — may be described in a proposal, invoice, order form, statement of work, or separate written agreement. Information on the website is general and does not constitute a binding proposal or a guarantee that any particular service will be available. If a separately signed agreement conflicts with these Terms, the signed agreement will control regarding the specific conflict.
04Free website preview
Yondi Group may prepare a free, personalized preview of a website for your business before any payment. The preview is provided for evaluation purposes only, remains the property of Yondi Group, and creates no obligation for either party. If you choose not to proceed, no fees are owed and the preview may be retired.
05Consultations and inquiries
Submitting an email, contact request, telephone inquiry, preview request, or consultation request does not create a client relationship or require Yondi Group to provide services. A business relationship is formed only when the parties enter into an applicable written agreement or Yondi Group otherwise confirms acceptance in writing. You agree that information provided in an inquiry will be accurate and will not violate another person's rights.
06No professional or guaranteed advice
Unless expressly stated in a signed agreement, information provided on the website or during an initial consultation is general business information and does not constitute legal, tax, accounting, investment, or other regulated professional advice. You should consult qualified advisers regarding matters requiring professional advice.
07No guarantee of results
Unless expressly guaranteed in a signed written agreement, Yondi Group does not guarantee: revenue; profit; sales; leads; conversion rates; business growth; search-engine rankings; advertising results; approval by a third-party platform; message delivery rates; continuous availability of third-party systems; or any particular business, technological, or commercial result. Results may depend on market conditions, customer actions, third-party platforms, budgets, timing, technical limitations, legal requirements, and other matters beyond our control.
08Customer responsibilities
Where you engage Yondi Group for services, you are responsible for: providing accurate and timely information; providing required materials, credentials, access, decisions, and approvals; reviewing proposals and deliverables; ensuring that materials you provide are lawful; obtaining required intellectual-property rights for content you supply; obtaining required privacy and communication consents for your own customers; complying with applicable laws and platform rules; protecting passwords and account credentials; paying agreed fees; and cooperating reasonably with service delivery. Project schedules may be extended if required information, access, materials, or approvals are delayed.
09Acceptable use
You may not use our website or services to: violate any law or regulation; send spam or unlawful unsolicited communications; send text messages without legally sufficient consent; misrepresent your identity, affiliation, products, or services; infringe intellectual-property, privacy, publicity, or other rights; distribute malware or harmful code; interfere with systems or networks; attempt unauthorized access; harvest or scrape information unlawfully; engage in fraud, threats, harassment, or abusive conduct; or circumvent compliance, security, or contractual restrictions. We may suspend or terminate services associated with suspected prohibited conduct.
10Fees, billing, and payment
Our standard packages are one-time, flat fees: Essential — $500; Premium — $700; and Smart Website — $1,000 (which includes an online booking system). Custom work may be quoted separately.
Standard payment terms are a 50% deposit to begin work and 50% before launch, unless your proposal or agreement states otherwise.
Fees are quoted in U.S. dollars and processed securely by our payment processor, Stripe. If you provide a payment method, you authorize Yondi Group and its payment processor to charge amounts you have approved.
Fees do not include applicable taxes; you are responsible for applicable sales, use, or similar taxes, except taxes based on Yondi Group's net income.
We may suspend services for overdue balances, and you may be responsible for reasonable collection costs where permitted by law.
11Care Plan subscription
The optional Care Plan ($50/month) is a recurring service covering hosting, security, small content edits (up to 2 per month), uptime monitoring, and priority support. By purchasing the Care Plan, you authorize recurring monthly charges via Stripe until cancellation becomes effective. You may cancel anytime with 14 days' notice by emailing yondigroup@gmail.com. Cancellation prevents future renewals and does not automatically entitle you to a refund for a current or prior billing period.
12Refunds
Unless otherwise provided in a signed agreement or required by applicable law: deposits become non-refundable once design or development work has begun; fees for completed services are non-refundable; third-party fees and pass-through costs (such as domains or premium assets) are non-refundable; and subscription fees are not prorated for partially used billing periods. Refund requests must be submitted to yondigroup@gmail.com. Nothing in this section eliminates a non-waivable right under applicable law.
13Revisions and approvals
Each website build includes two rounds of revisions. Additional revision rounds or new features beyond the agreed scope may be quoted as extra work. You are responsible for reviewing and approving the website before launch.
14Third-party services
Our services may depend on or integrate with third-party platforms, including website hosting; cloud providers; domain registrars; telecommunications and messaging providers (including Twilio); payment processors (Stripe); artificial-intelligence providers; analytics services; scheduling systems; and other software or infrastructure providers. Third-party services are governed by their own terms, policies, pricing, and technical limitations. Yondi Group is not responsible for third-party outages; changes in third-party functionality or pricing; third-party account suspensions; third-party data loss; API restrictions; carrier filtering, message blocking, or non-delivery; rejected registrations; security incidents caused by third parties; or other third-party acts or omissions. Assistance with a third-party platform does not guarantee approval or continued availability.
15Electronic communications
By contacting Yondi Group, you agree that we may respond through the contact method you use or provide, including email or telephone. We may communicate with you concerning your inquiry, previews, proposals, services, appointments, accounts, transactions, support, security, legal notices, and policy updates. Marketing communications will be sent only as permitted by applicable law and after obtaining any required consent.
16SMS and MMS program terms
16.1 Program description
When a person expressly opts in, Yondi Group may send SMS or MMS communications concerning: responses to business inquiries; website preview links; proposals and quotes; consultation scheduling; appointment confirmations and reminders; payment links; project or account updates; customer support; requested information; and other communications disclosed at the time of opt-in.
16.2 Methods of consent
A recipient may opt in by: providing express verbal consent during a telephone call with an authorized Yondi Group representative; selecting an optional, unchecked SMS consent checkbox on a Yondi Group contact form; initiating a text-message conversation and requesting a response; or providing documented consent through another clearly disclosed process. Consent applies specifically to messages sent by Yondi Group LLC for the purposes disclosed at the time of consent, and is not transferable to another business.
16.3 Voluntary consent
Consent to receive text messages is voluntary and is not a condition of purchasing goods or services. Where a website form is used, SMS consent is presented separately and is not bundled with required acceptance of general terms.
16.4 Message frequency
Message frequency varies depending on inquiries, appointments, requests, projects, and interactions with Yondi Group — typically 2–8 messages per month.
16.5 Message and data rates
Message and data rates may apply according to the recipient's wireless plan. Yondi Group is not responsible for fees charged by a mobile carrier.
16.6 Opt-out
A recipient may opt out at any time by replying STOP. After receiving STOP, Yondi Group may send one final confirmation message stating that the recipient has been unsubscribed. No further messages will be sent through the applicable messaging program unless the person provides new consent.
Wireless carriers are not liable for delayed or undelivered messages. Message delivery depends on carrier networks, device compatibility, service availability, and other factors outside Yondi Group's control and is not guaranteed.
16.9 Mobile privacy
No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared, sold, rented, or transferred to third parties, affiliates, lead generators, or data brokers for their independent marketing or promotional purposes.
Yondi Group may use telecommunications and technology vendors solely to operate the messaging program on its behalf. See our מדיניות פרטיותPrivacy Policy for full details.
16.10 Program changes
Yondi Group may modify or discontinue a messaging program, subject to applicable law. Material changes may be communicated by text message, email, website notice, or another reasonable method.
17Website content and intellectual property
The Site and its content — including text, graphics, logos, designs, software, images, trademarks, and other materials — are owned by Yondi Group or its licensors and are protected by applicable intellectual-property laws. Subject to these Terms, Yondi Group grants you a limited, revocable, non-exclusive, and non-transferable right to access the Site for lawful informational or internal business purposes. You may not, without prior written permission: republish substantial Site content; modify or create derivative works; sell or sublicense Site content; remove proprietary notices; reverse engineer software, except where prohibited by law; misuse Yondi Group's name or trademarks; or imply an unauthorized endorsement or affiliation.
18Customer materials
"Customer Materials" means information, documents, content, logos, designs, data, credentials, images, instructions, or other materials provided by a customer. Customers retain ownership of their Customer Materials. A customer engaging Yondi Group grants the Company a limited license to use, host, reproduce, transmit, display, or modify Customer Materials as reasonably necessary to perform agreed services. You represent and warrant that you own or have permission to use Customer Materials; that the materials do not violate applicable law; that the materials do not infringe third-party rights; and that you have obtained necessary permissions and consents.
19Deliverables and ownership
Upon full payment, the delivered website and its content belong to the customer. Unless otherwise agreed in writing: Yondi Group retains ownership of its pre-existing materials, templates, frameworks, tools, processes, methods, software components, and reusable technology, which are licensed to the customer as embodied in the delivered website; third-party materials remain subject to their applicable licenses; customers receive only the rights expressly granted; and any ownership transfer is conditioned on full payment. Unless you ask us not to, Yondi Group may display the finished, public website in its portfolio and marketing.
20Confidentiality
Each party may receive non-public information that is identified as confidential or that reasonably should be understood as confidential. The receiving party will: use confidential information only for the applicable business relationship; apply reasonable protective measures; limit access to persons with a legitimate need to know; and not disclose confidential information except as authorized or legally required. Confidential information does not include information that becomes public without breach; was already lawfully known; is lawfully received from a third party; is independently developed; or must be disclosed by law.
21Privacy

22Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." YONDI GROUP DISCLAIMS EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE WILL ALWAYS BE AVAILABLE; THAT SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE; THAT ALL DEFECTS WILL BE CORRECTED; THAT DATA WILL NEVER BE LOST; THAT COMMUNICATIONS WILL ALWAYS BE DELIVERED; THAT THIRD-PARTY SERVICES WILL REMAIN AVAILABLE; OR THAT USE OF THE SERVICES WILL PRODUCE A PARTICULAR RESULT. Some jurisdictions do not permit certain exclusions, so portions of this section may not apply to you.
23Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YONDI GROUP AND ITS MEMBERS, MANAGERS, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, USE, OR DATA. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YONDI GROUP'S TOTAL AGGREGATE LIABILITY ARISING FROM THE WEBSITE, SERVICES, OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID DIRECTLY TO YONDI GROUP FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR (B) ONE HUNDRED U.S. DOLLARS ($100), IF NO PAYMENT WAS MADE FOR THE APPLICABLE SERVICE. Nothing in these Terms excludes liability that cannot legally be excluded.
24Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Yondi Group and its members, managers, owners, officers, employees, contractors, affiliates, and agents from claims, losses, damages, liabilities, penalties, judgments, costs, and reasonable attorneys' fees arising from: your violation of these Terms; your violation of law; your Customer Materials; your infringement of another party's rights; your misuse of the website or services; communications sent at your direction; your failure to obtain legally required consent; or your business practices, products, or services.
25Suspension and termination
Yondi Group may suspend or terminate services when these Terms are violated; payment is overdue; conduct creates legal, security, reputational, or operational risk; a third-party provider requires suspension; fraud, abuse, or unlawful activity is suspected; or continued service would violate law or contractual obligations. Termination does not eliminate payment obligations already incurred. Provisions that by their nature should survive termination remain effective, including payment, confidentiality, intellectual property, disclaimers, limitations of liability, indemnification, and dispute-resolution provisions.
26Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.
27Informal dispute resolution
Before initiating formal legal proceedings, the parties agree to attempt in good faith to resolve a dispute through written notice and reasonable informal discussions for at least 30 days. A dispute notice should include the complaining party's name and contact information; a description of the dispute; relevant supporting information; and the requested resolution. Notices to Yondi Group should be sent to yondigroup@gmail.com.
28Venue
Unless a written agreement provides otherwise or applicable law requires a different forum, judicial proceedings arising out of these Terms or the services will be brought in the state or federal courts with jurisdiction over Sheridan County, Wyoming. Each party consents to personal jurisdiction and venue in those courts.
29Electronic communications and signatures
You consent to receive contracts, invoices, notices, disclosures, and other records electronically where permitted by law. Electronic acceptance, typed names, click-through acceptance, and electronic signatures may have the same legal effect as handwritten signatures.
30Force majeure
Yondi Group will not be liable for delay or failure caused by events beyond its reasonable control, including natural disasters; fire or flood; war or terrorism; labor disputes; epidemics; government action; utility failures; internet outages; cyberattacks; telecommunications failures; carrier actions; and failures of third-party platforms. This section does not excuse payment for services already provided.
31Changes to these Terms
Yondi Group may update these Terms periodically. Updated Terms become effective when posted unless a later effective date is stated, and the "Last updated" date will be revised when changes are made. Changes will not retroactively alter a separately signed agreement unless permitted by that agreement or agreed by the parties.
You may not assign or transfer these Terms without prior written consent from Yondi Group. Yondi Group may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or transfer of its business, subject to applicable law. If a provision is determined to be invalid or unenforceable, it will be enforced to the greatest extent permitted, and the remaining provisions will remain effective. Failure to enforce a provision does not waive the right to enforce it later; a waiver is effective only if provided in writing by an authorized representative. These Terms, the Privacy Policy, and any applicable signed proposal, order form, statement of work, or other agreement constitute the entire agreement concerning their subject matter.
